Due to the nature of the service provided, TIM often operates in situations with constantly evolving scenarios, which can generate contrasting visions and imply alternative solutions. The role taken on by the T-Manager and the responsibilities provided for by the Transition Management agreement are very delicate aspects, which impose a strong ethical cohesion and clear professional code of conduct.
To this end, TIM has prepared its own Code of Ethics, inspired by the International Code of Ethics formulated by the Chicago Turnaround Management Association.
Chapter 1 - TIM
Responsibilities. TIM, based on the agreement signed and by virtue of the mandate conferred, assumes direct responsibility for the management of the Company and is required to clearly explain the civil and criminal implications assumed by the manager. Work shall be carried out with full dedication, in constant compliance with the responsibilities taken on and within the limits of the accepted powers.
Integration. TIM operates according to a service agreement and undertakes to transfer the benefits resulting from inter-professional and international knowledge to the Customer, where this is useful for managing the Transition Management Project. TIM shall activate this integration at its own free will, with the utmost discretion and confidentiality towards the Customer.
Independence. TIM carries out its business in compliance with the commitments undertaken, with full professional autonomy and without any moral conditioning either within or outside of the Company. The Customer must exercise all powers of control over the implementation of the Project, the contents of which he shall be promptly and constantly informed, but shall not be able to interfere in a manner contrary to the obligations accepted by signing the agreement.
Transparency. TIM shall not embezzle any information or news relating to the Customer and that bound by professional secrecy shall be processed with due care. Should any aspects and/or facts that may be prejudicial and/or which may compromise the successful outcome of the Transition Management Project, these must be immediately brought to the knowledge of the parties for the consequent decisions.
Chapter 2 - TIM
Confidentiality. The T-Manager selected by TIM and appointed by the Customer to manage the Transition Management Project is required to maintain the strictest confidentiality regarding information, news and knowledge acquired during the execution of the mandate. This confidentiality is also guaranteed should the agreement not take effect and, in any case, after its conclusion.
Integrity. The T-Manager shall operate with the utmost transparency, clearly separating the facts from his/her own opinion and shall never, even inadvertently, induce third parties to implement tendentious conduct. Should he/she become aware of previously unknown information, he/she shall promptly inform TIM and the Customer, for his/her own protection and that of other contractors.
Conduct. Any T-Manager who may have recourse to the support of people outside of TIM must inform them of the contents of this Code of Ethics and obtain their acceptance thereof before involving them in confidential elements relating to the Customer. If, during the implementation of the Project, the T-Manager finds him/herself in a conflict of interest, he/she must declare it immediately and, in any case, shall be required to engage in a conduct that protects the Customer.
Collaboration. The T-Manager undertakes to be available to his/her colleagues and TIM, to provide collaboration, exchange of knowledge and useful and profitable professional opinions to all TIM Customers. The T-Manager shall also be willing to transfer his/her experience in training activities and in the evolution of the methodology developed by TIM, notwithstanding the confidentiality of sources and references.
Chapter 3 - Customer
Rights. The Customer shall receive, from TIM, the professional support necessary to carry out the Transition Management Project outlined in the agreement. Should cases of force majeure cause the T-Manager to be unable to complete the Project, the Customer shall be entitled to replace the T-Manager to complete the intervention.
Duties. The Customer undertakes to transfer, to TIM, all corporate and personal information, none excluded, functional to the support agreement and to the involvement of the T-Manager in the management. The Customer also undertakes to comply with the financial and economic conditions stipulated in the agreement and in its appendices, in addition to all other clauses incorporated therein.
Exclusivity. The results of the work carried out by TIM, as part of the mandate conferred and duly remunerated, are the exclusive property of the Customer. TIM may not make any use nor can it use references or facts, not even to promote its business, unless previously authorised in writing.
